SUBTILL terms & conditions (04/01/2012)
GENERAL
The owner of this website subtill.com (see below “Website”), accessible at the address http://www.subtill.com is SUBTILL (simplified joint-stock company €6000 capital) whose address is 14 rue de l’Annonciation, 75016 Paris, France.
Registration number B530012483 (Paris Register of Companies) intra-Community VAT FR75530012483.
The acceptance of the following terms and conditions of the website SUBTILL by the Users (see below “users”) shall constitute a mandate for SUBTILL to put the Sellers in communication with the Buyers of Products.

DEFINITIONS

- Website: e-commerce website edited by SUBTILL which enables Sellers to be put in communication with Buyers, whether they are professional or private.
- User: all users (Buyer or Seller) must be 18 years or older to sign up to this website. Each User commits oneself to precisely provide and update all information regarding their identity, addresses and other useful information for the website.
- Seller: all identified Users who put one or several Adverts on the website.
- Buyer: all identified Users who accept the purchasing offer of Products on the Website.
- Product: all items up for sale in an Advert by a Seller on the Website, which correspond to the criteria defined in articles 4.3 and 4.4.
- Advert: offer for sale of one or more Products by a Seller on the Website.
- Price of the Product: the price offered by the Seller for a Product. The Price of the Product includes the SUBTILL SAS commission but not the postage.
- Final Price: Price of the Product paid by the Buyer plus postage.
- Commission: the amount received by SUBTILL in return for its involvement as a representative of the Buyer.
- Postage: shipment cost set by the Seller for the Product and paid for by the Buyer.
- Bid: the Bid for a Product on the Website by a Buyer for an Advert.
- Delivery address: the mailing address located in one of the countries listed HERE where the Product bought by the Buyer will be delivered by the Seller.
- Acknowledgement: the Buyer's aknowledgement of receipt of the Product bought on the Website, which activates the payment to the Seller of the amount pertaining to their sales less the Commission.
- Transfered Amount: the amount paid by SUBTILL SAS to a Buyer at the end of the Sale of a Product. The Transfered Amount equals the Price of the Product plus Postage and minus Commission.
- Electronic Purse: the open account on the Website, corresponding to the identity of the User, on which are credited the amount pertaining to the sales of the User minus Commission.


Article 1: PURPOSE
The following terms and conditions aim at defining the conditions of use of the Website by which the Users are authorised to use the website SUBTILL for their practice.

Article 2: REGISTERED INFORMATION AND ET PROTECTION OF PERSONAL DATA
2.1 For the operation management by the Users on the Website, SUBTILL SAS collects registered information concerning the user, which is necessary to manage the User's connection.
In accordance with article 32 of the law 2004-801 of August 6th 2004, relating to the protection of the individuals towards personal data processing, and modifying the law 78-17 of January 6th 1978 relating to data processing, to files and freedoms, you have the right of access, of modification and of cancellation of the information concerning you at any time. To do so, you can contact SUBTILL SAS by email at contact@subtill.com or by mail to: SUBTILL SAS, 14 rue de l’Annonciation, 75016 PARIS, with the following information: SURNAME, Name, mailing address, email address and user name on the Website. SUBTILL SAS is the only recipient of such information.
Depending on the chosen options during the creation or the update of the account, the User is likely to receive offers from SUBTILL and / or its partners. The User can suspend their options at any time via their account.

2.2 The User agrees that SUBTILL SAS keeps all documents, history and information concerning their activtity on the Website.

2.3 It is for user knowledge that SUBTILL SAS uses cookies to simplify the user's navigation on the website and to memorize the user's products in the basket. The User can refuse the recording of cookies depending on their browser options. The de-activation of cookies, however, can affect the User's browsing on the Website.

2.4 The User agrees that SUBTILL SAS advertises their Products for sale. The User agrees that SUBTILL SAS might have to retouch the pictures of their Products for sale.

2.5 In the event of fraud or characterized infringement (notably imitations), SUBTILL SAS will be obliged to contact the administrative or legal Authorities and communicate any documents at their disposal concerning the User.

Article 3: REGISTERING THE WEBSITE – OPENING OF AN ACCOUNT
3.1 When creating an account on the Website, the User must have total legal capacity, must provide SUBTILL SAS with complete and accurate information, be 18 years or older, have a valid email address, have a mailing address for delivery in Metropolitan France or any country part of the European Union.

3.2 To finalize an account, the user must chose an account name and password that are to remain strictly personal. The User commits oneself to keeping  their data private. It is the responsibility of the user not to give access of their account to any other individual.

3.3 The User commits oneself to not use a username undermining a company name, a registered trademark, an intellectual property right, or public order and morality.

3.4 The User commits oneself to update the information provided to SUBTILL SAS, especially their bank account information, mailing and telephone information and their email address. If such information is not updated, the User is the only person responsible and will take on the consequences in case of direct or indirect damage.

3.5 The User commits onself to provide all written documents justifying their situation if SUBTILL SAS requests so.


Article 4: THE ADVERT – PRODUCTS FOR SALE
4.1 The Seller's Advert is published for free on the Website with no time limit, subject to the following Terms and Conditions: SUBTILL SAS commits themselves to remove the Seller's Advert as soon as a Buyer bids for the Product has been placed. SUBTILL SAS commits themselves to remove the Seller's Advert as soon as the number of Products in stock equals zero (0).

4.2 The Seller autorises SUBTILL SAS to publish their Adverts on its partnering Websites. Owing to the fact that an Advert is published by the Seller on the Website, SUBTILL SAS has overall control and rights of reproduction, representation for commercialization on the Website and transmission to any of the media, free of charge.

4.3 The Seller commits themselves to be in full possession of the Product placed on the Website. The Seller will not sell on the Website: imitations, non-authorized copies of products or not for sale products under contractual, legal or statutory conditions.
In case of  reported infringement, SUBTILL SAS refuses any responsibility and the Seller takes full responsibility to deal with consequence, even monetary ones, of any penalty.

Exceptionally and in order to prevent frauds, SUBTILL SAS can ask the Seller for any documents that justify the ownership of the Product.
 
The Users commit themselves to inform SUBTILL SAS if they come across a non-complying Advert.

4.4
The Seller pledges that all their offers correspond to a material good. Therefore, any immaterial good, such as a share in a social enterprise, a letter of credit, a domain name, or a hyperlink are absolutely not for sale.

4.5 The Seller must describe as precisely as possible, the Product for sale, especially the Products brand name, description, characteristics and Final Price. The Seller is the only one responsible for the description and origins of their Products image and will be the only one responsible to take charge of any possible extra cost. No such complaint is acceptable to the Buyer or to SUBTILL SAS.

4.6 The Seller bears full responsibility on the decision of the Final Price. The Seller can mention the original price of the Product in original condition, but it is not contractual. SUBTILL SAS advises the Seller to find out in the help section of the Website before establishing the selling price of a Product (neither excessively expensive or inexpensive).

4.7 It is the sellers responsibility not to divulge any of their personal information in the description of their Product, such as their email address, phone number or any other username that would allow any connection (Skype, MSN, Facebook).

4.8 SUBTILL SAS has the right to contact the Seller to modify their Advert if conflicting with article 4.3 above. If the Seller does not comply, SUBTILL SAS has the right to delete the Advert or suspend the Seller's account without further notice.

4.9 Users are required to update their accounts to «Holiday mode» if an absence is longer than that of 3 days.thus turning the Advert to temporarily unavailable. This option is available for free thanks to SUBTILL SAS in the Seller's account.

Article 5: PAYMENT – COMMISSION FEE
5.1 A list of accepted means of payment is available in the «Help > Means of payment» section of the Website.

5.2 The Commission equals 14% of the Price of the Product.

5.3 The Buyer is debited with the Final Price as soon as the Bid has been accepted and confirmed by the Seller.

5.4 All the prices on the Website are in euro. All taxes included (Price of the Product, Final Price, Commission, Postage, Transferred Amount).

Article 6: CLOSING OF THE SALE PROCESS
6.1 The Buyer's purchase has been finalized once they have clicked on the «Submit» button to start the transmission of their bank account information via the Paybox payment platform.

6.2 The Seller is notified of the Buyer's Bid by email. To accept the Bid, the Seller has three (3) days notice - seventy two (72) hours - from when the notification email is sent by SUBTILL SAS.
The Seller accepts the Bid by consulting its details on the Website and by clicking on the «Submit  order» button. The confirmation of acceptance of the Bid is definite and irrevocable. The sale is closed and considered final at the acceptance of the Seller.
Failure to reply to the Seller within seventy two (72) hours equals an invalid Bid and the sales contract will not be concluded. The Buyer will be alerted by email of the cancellation of their order and there will be no debit on their credit card or their Electonic Purse.
Failure to respond to two (2) emails will result in the Seller's Advert being temporarily suspended on the Website by SUBTILL SAS.

6.3 Each of the Buyer's Bids remains independent from one another, even if the Buyer has gathered several Bids during his order and has only once clicked on «Submit the payment for the order».
If one or several of the Bids has not been accepted by the Seller(s), the other Bids will remain valid and bind the Seller. The total amount of the transaction is automatically recalculated if one or several of the Bids has not been accepted by the Seller(s).

Article 7: DELIVERY OF THE PRODUCT
7.1 Once a Product is sold on the Website, the Seller has accepted the Buyer's Bid and that SUBTILL SAS has received the payment of the Buyer's Final Price, the Buyer accepts that their personal information be disclosed to the Seller (surname and first name, Delivery address). The Users commit themselves to keep such information confidential. The Users commit themselves to respect the other User's private lives and not to contact them in any way or means to advertise or communicate (be it by mail, telephone or email).

7.2 The Seller commits themselves to ship the appropriately prepared and packed Product(s) within forty eight (48) hours following the date of acceptance of the Bid.

7.3 The Seller commits themselves to ship the Product by Certified mail (including a tracking number) and to indicate on the webpage showing the details of the order, the date of shipment of the Product and the tracking number of the corresponding package. This is in order to assist potential complaints by the Buyer for failure of the Product(s) delivery.

7.4 The Product travels at the Seller's own risk and expense. Reminder: in order to reduce the delivery risks, the shipment MUST have a tracking number.

7.5 The Buyer commits themselves to own a mailbox that is in accordance with the postal services' recommendations and that matches the information (Surname and name) given to the Seller.

7.6 The Seller is committed to keeping a record of all shipping proofs of the Product during the thirty (30) days following the date of shipment.

7.7 If the Seller authorizes the option of delivery of the Product in person, the Buyer can choose this option while ordering. The Seller's personal information (email and phone number) will be transmitted to the Buyer in order to organise the delivery of the Product. The Buyer will print two (2) copies of the withdrawal certificate from their account. These two copies must be filled-in and signed by the Seller. The Seller will keep a copy in exchange for the content of the order delivered to the Buyer.

7.8 If the Seller ships their Products to or from a country out of the European Union, customs duty may be applied. Four (4) customs declarations CN23 will have to be provided as well as two (2) copies of the bill. SUBTILL SAS requires the User to get information from the local authorities prior to placing an Advert.

Article 8: RECEIPT OF THE PRODUCT
8.1 Once the ordered Product has been received, the Buyer is committed to confirming the delivery as well as the compliance of the Product on the Website. The Transaction is considered valid once the Buyer confirms the receipt. In case of dispute, the Buyer can fill in a complaint on the Website from their account.

If there is no confirmation nor complaint from the Buyer, the transaction is considered valid on the 20th of the following month, starting from the date of purchase.

8.2 If the Buyer is away during the delivery, they are commited to collecting the Product as soon as possible at their nearest post office.

8.3 Once the sales contract is carried out, the Buyer has to appraise the sale and give a note to the Seller. The Buyer's appreciation of the Seller must be objective, honest and must not interfere with their private life, the rights of third parties or morality. The Buyer is the only person responsible for their comments of appreciation about the Seller. The Buyer agrees that any complaints made, will be directed soley to the Buyer and SUBTILL SAS declines responsibilty. SUBTILL SAS reserves the rights to modify or cancel any notification which does not apply to these rules.

8.4
The Seller agrees that the Buyer's notifications and comments are published on the Website. The Seller can alert SUBTILL SAS in case of prejudicial notifications.

Article 9: THE SELLER'S PAYMENT
9.1 After the acceptance of the Bid, the Seller authorizes SUBTILL SAS to be their representative and  perceive, in their name and for their account, the Final Price via the secured e-payment platform on the Website, which will later on be validated by SUBTILL SAS.

For that purpose, the Seller authorizes SUBTILL SAS, in their name and for their account, to open an escrow account for the amount received, in the financial institution chosen by SUBTILL SAS. Both the parties agree that this escrow account will only be used in order to comply with the Website's Terms & Conditions and in accordance with such provisions.

9.2 SUBTILL SAS will procede to the payment on the Seller's Electronic Purse, accessible on the Website once the Buyer confirms the Products's delivery, before the 20th of the following month starting from the acceptance of the Buyer's Bid by the Seller.    

9.3 As a remuneration for the Website's use and because fo the acceptance of the Buyer's Bid and their complete payment, the Seller authorizes SUBTILL SAS to deduct a Commission from the Final Price of the transaction, according to the payment terms defined in article 5.2. The Commission is due by the Seller even in case of invalidation of the Bid by the Seller, or if the Buyer returns the Product.
The Seller agrees that the payment of the Transfered Amount be delayed in case of complaint by the Buyer to SUBTILL SAS. The Seller agrees that SUBTILL SAS suspends the money transfer in case of fraud. SUBTILL SAS will ask the Seller to provide a piece of identification.

9.4 The Seller agrees that whatever happens, they will only perceive an amount equal to the Transfered amount without any interest or any other amount.
The Seller renounces any complaint regarding the potential amounts produced by the immobilization of the Transferred Amounts in their name and for their account by SUBTILL SAS during a sale.

9.5 The Seller can ask for the transfer on their bank account of the amounts in their Electronic Purse as soon as the balance of their account is over ten (10) euros. Once the request is made and accepted by SUBTILL SAS, the payment of the Seller's Electronic Purse's amount is made on the 5th and 20th of each month.

As bank charges, SUBTILL SAS will deduct from the payment a lump sum of two (2) euros for each transfer made to an account that is not located in the euro-zone.

Article 10: COMPLAINTS AND RIGHT TO CANCEL
10.1 Opening a case
10.1.1 SUBTILL SAS makes complaint procedures available to the Buyer and the Selller, accessible from «My account > Customer Service > My tickets».

10.1.2 SUBTILL SAS will take care of the management and moderation of the case. In order to deal best with the case, the Users commit themselves to following the instructions communicated by SUBTILL SAS.
The Users commit themelves to cooperating with SUBTILL SAS, to clearly detail the reasons for the dissatisfaction and to kindly provide the requested documentary evidence.

Otherwise, the defaulting Users agree that the case be closed by SUBTILL SAS against them.

10.1.3 The Buyer can fill in a complaint in the restrictive following cases:
- The Buyer sent the package with a tracking number and / or by registered mail delivered for signature.
- The Buyer wants to exercise their right to cancel in the conditions and deadlines of Articles 10.3 and 10.4 of the following Terms & Conditions.     

10.1.4 Until the closing of the case, the User's Electronic Purse may temporarily be blocked by SUBTILL SAS.
If the same User is concerned by a great number of complaints, SUBTILL SAS can temporarily block the User's Electronic Purse.

If a great number of cancellations comes from the same User, SUBTILL SAS can temporarily block the User's Electronic Purse.

10.2 Failure of delivery of the order
10.2.1 Before filling a complaint for total or partial failure of delivery of the ordered Product, the Buyer must wait a three (3) weeks' notice after the Notification of a Sale. Such notice may vary if the Seller admits not having sent the ordered Product within the notice indicated in Article 7.2 of the following Terms & Conditions.

10.2.2 If the Seller does not meet the mailing conditions, especially delivery with a tracking number, SUBTILL SAS does not garantee the refund in case of loss or theft of the ordered Product.

10.2.3 If during the Biding process, a Buyer opts for delivery without a signature upon arrival, they are unable to open a case for failure of delivery of the ordered product. They agree and acknowledge that delivery by the carrier is sufficient proof of delivery and  that SUBTILL SAS will close the case in favor of the Seller.

10.3 Failure of conformity and hidden defect
10.3.1 A complaint for failure of conformity of the ordered Product with the description made by the Seller in the Advert, leads to the Buyer's obligation to return the Product according to the modalities   indicated by SUBTILL SAS.

10.3.2 In order to asses the non-conformity of the Product in comparison with the description made by the Seller in the Advert, the Buyer agrees to provide SUBTILL SAS with any relevant document that can prove the non-conformity defined in the aforementioned complaint.

10.3.3 If a hidden defect is found, the Buyer will have to make their complaint within the following notice and the modalities which are set in article 1641 of the French Civil Code.

The Seller must guarantee the hidden defects of the sold item, which make it unfit for its use, or which decrease this use in such a way that the Buyer would not have bought it, or would have paid a lower price if they had been aware of the defects.

10.3.4 If the Buyer bought a Product which turns out to be a counterfait after assessment, the Buyer can be refunded the total of the costs they paid (equals the Final Price). SUBTILL SAS will pass on the costs due to procedure to the Seller, who commits themselves to refunding SUBTILL SAS as soon as possible. The Seller agrees to not receive anything for the Product which will be destructed or kept by the representative of the counterfait brand.

10.4 Right to cancel
10.4.1 If the Seller is a professional, the Buyer may ask for the return of the Product bought in the following conditions and according to Article L.121-20 of the French Consumption Code, which establishes the right to cancel.
To ask for the return of a Product, the Buyer has seven (7) clear days starting from the delivery of a Product bought through SUBTILL SAS to a professional Seller. The Buyer will have to return the Product cautiously packed to the Seller, at their own expenses. Subject to the above notice and the respect of the return procedure, SUBTILL SAS will refund the Price of the Product to the Buyer. From this moment, the Buyer  cannot protest againsst the potential amount produced by the immobilization of the amounts received by SUBTILL SAS for the sale.

10.4.2 Besides their non-conformity with the Advert, the Products which do not benefit from a right  to cancel under the terms of article L.121-20-2 of the Consumption Code include:
- Tailor-made Products from the measurements taken from or provided by the Buyer.
- Products that are likely to quickly deteriorate or expire.
- Products specifically personalized for the Buyer.

10.5 Acceptance of the complaint
If a Buyer returns a Product and their refund request is approved by SUBTILL SAS, SUBTILL SAS will tell the depository to procede to the refund of the Transaction Price.

The refund will only be completed once the Seller has confirmed the return of the Product.

The Seller agrees that they will only be refunded the amount equal to the Price of the Product, to the exclusion of any interest or other amount. From this moment, the Buyer cannot protest against the potential amount produced by the immobilization of the amounts received by SUBTILL SAS for the sale.
The refunds systematically take place by a credit of the User's Electronic Purse. The User can ask for the refund in the conditions of Article 9 of the following Terms & Conditions.

The Buyer will have to return at their own expenses, the Product cautiously packed to the address indicated by SUBTILL SAS. The return of the Product is under the responsibility of the Buyer only.
Reminder: the refund, which systematically takes place by a credit of the User's Electronic Purse, will only be completed once the Seller has confirmed the return of the Product.


Article 11: OBLIGATIONS OF PROFESSIONAL SELLERS
11.1 The Seller who wants to sell as a business activity on the Website must identify themselves as such to SUBTILL SAS. The interested Seller will have to justify their trader status to SUBTILL SAS, by addressing them a document issued by the Companies House, attesting that the company is registered to the Register of Comapnies, dated within the last three (3) months via email at serviceclient [at] subtill.com / customerservice [at] subtill.com, or by mail at the address SUBTILL SAS – 14 rue de l’Annonciation – 75016 PARIS.  SUBTILL SAS might have to refuse a contract with a professional Seller.

An automatic «PRO» mention is published on their Adverts, and their profile show the Seller's trader status.

11.2 If a Seller registered as a private User seems to be carrying out a business activity, SUBTILL SAS can ask the Seller to justify their private status or to register as a professional Seller. While waiting to receive the relevant documents requested of the Seller, SUBTILL SAS can temporarily suspend the Seller's account as measures on conservation and / or block their profits in their Electronic Purse and / or suspend their Adverts.

11.3 As a professional, SUBTILL SAS reminds professional Sellers of their obligation to respect the laws and regulations of an online selling business activity.
The professional Seller is commited to fulfilling all their declaratory obligations of social or fiscal kind. The professional Seller must provide the Buyer with a nominative evidence of the operated sale, as well as an invoice complying with the legal requirements concerning the sold Product, the transaction Price and modalities of right to cancel for the Buyer. The professional Seller must respect the regulation on selling at a loss specified in articles L.442-2 to L.442-4 of the French Commercial Code.

11.4 If the Seller is a professional, the Buyer can ask for the return of a Product bought in the following conditions and according to article L.121-20 of the French Consumption Code, which establishes the right to cancel.

From this moment, the Buyer  cannot complain about the potential amount produced by the immobilization of the amounts received by SUBTILL SAS for the sale.

Article 12: RESPONSIBILITIES AND GUARANTEES
12.1 The User is the only responsible for the Use of the Website according to the following terms & Conditions.

12.2 SUBTILL SAS cannot be held responsible for the content, the actions or lack of actions of other Users and the articles put up for sale by the Sellers. SUBTILL SAS cannot be held responsible for the Users' online comments which might be insulting, offensive, against pulcic order and morality.

12.3 If a User's account is fraudulentely used by a third party, SUBTILL SAS is not responsible for the changes of Username and / or password of the User. SUBTILL SAS cannot be held responsible if a User undergoes direct or indirect damage, especially the loss or change of information. SUBTILL SAS cannot be held responsible for any possible failure, crash, delay or interruption of access to the Internet network.

12.4 Some hyperlinks can link to other Websites. SUBTILL SAS cannot be held responsible for the content and dealings of such Websites. SUBTILL SAS cannot be held responsible if such websites seem not updated.

12.5 As from the conclusion and acceptance of the sales contract between the Buyer and the Seller, SUBTILL SAS' mission is strictly limited to the clauses of Article 9 of the following Terms & Conditions.

12.6 SUBTILL SAS does not play any role in the transaction between Buyers and Sellers. Therefore, the Seller declares and guarantees being able to give away the sold Product. The sold Product is not given up, mortgaged, burdened with or in a more general way passed onto a third party. The Buyer's sellling process is not likely to infringe a third party's rights. By putting a Product online, the Seller certifies that the sale complies with the legal rules that apply.

12.7 SUBTILL SAS cannot guarantee the Buyer, that their Bid will not be cancelled by the Seller.

12.8
SUBTILL SAS is not responsible for the content of Adverts, of the Product's non-conformity with the description in the Advert, of lies, of exaggeration and of promises. SUBTILL SAS is not responsible if the parties do not meet their obligations, if the Seller does not deliver the Product to the Buyer, or if the Product has failures of conformity or hidden defects.

12.9 If fraud has taken place, SUBTILL SAS will provide all the necessary information, including names, to the legal authorities in charge of suppression of frauds and infringement.

12.10 The User will compensate SUBTILL SAS for any dammage undergone. The User will guarantee SUBTILL SAS against any action that would engage their responsibility on the grounds of infringement of any third party's right and / or the contract.  

12.11 In any case of damage, SUBTILL SAS or SUBTILL SAS'third partys' responsibility cannot exceed, all damages taken together, the sum equals to the maximum Final Price of the sale.

Article 13: GENERAL DISPOSITIONS
13.1 SUBTILL SAS can change the hereby Terms & Conditions, according to the evolution of the Website and of the market. The User accepts the updated version of the Terms & Conditions by any means chosen by SUBTILL SAS. When they come into force, the changes will not affect the sales in process.

13.2 While browsing and registering on the Website, the Users are supposed to know and accept the Terms & Conditions. Such acceptance comes into force takes effect once the User is regsitered on the Website and is valid for each and every operation, Advert, Bid and Sale.

13.3 Hereby, the contract between SUBTILL SAS and the User is an open-term contract. The contract can be cancelled at any time by SUBTILL SAS or by the User without any particular reason by a simple notification.

13.4 The Website, content, pictures, formatting and animations are protected by copyright and are owned by SUBTILL SAS and / or third parties that have a contract with SUBTILL SAS, that own the Website's intelectual property rights. Any reproduction of the Website, even partial, is strictly forbidden, unless SUBTILL SAS authorizes it. The Website and catalogues cannot be referenced or re-used in any way, without prior agreement from SUBTILL SAS. 13.9 The hereby contract applies to French law. If a case is open with a User, we will attempt out of court settlement before any legal action is taken. If a Case is open with a Seller registered as a professional, due to the Sellers interpretation and/or execution, the Tribunal de commerce de Paris will be involved.
